How does the Board of Governors operate?

NHS Foundation Trusts have a Board of Directors and a Board of Governors. Some of the Board of Governors is elected by the membership of the NHS Foundation Trust and are responsible for ensuring dialogue with the membership community.

They communicate this to the Board of Directors and agree what needs to be done to meet the needs of the community. The Board of Directors are responsible for the day-to-day management of the organisation, including very important issues such as providing quality services, compliance with guidance and the assurance of good governance and public accountability.

You can think of the Board of Governors as the equivalent of the Department of Health, which influences and signs off strategies and monitors performance and holds to account the Board of Directors in regard to their respective roles in the running of the Trust.

The Board of Governors must also have members representing partnership organisations and staff. There must be at least one more publicly elected governor than the others put together.
